  • Non-participating preferred plus pay-to-play – instead of participation, investors earn anti-dilution rights if they keep investing in future rounds, aligning incentives with continued engagement.
  • Stock dividends in lieu of cash dividends – delaying cash outflows and tying investor reward more closely to company growth rather than fixed cash drains.
